We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability.

3. User Accounts and Registration

To access certain features of our Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding the password and for all activities that occur under your account. 4. User Content and Intellectual Property

However, by providing User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any and all media or distribution methods.

User Responsibility for Content Rights: You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish the User Content and to grant the license above. You are solely responsible for ensuring that your User Content does not infringe upon any third party's intellectual property rights, including but not limited to copyrights, trademarks, patents, or trade secrets.

Prohibited Content: You agree not to upload, generate, or use any content that:

Infringes upon copyrighted characters, logos, or designs (e.g., Disney characters, video game characters like Sonic the Hedgehog, movie franchises, etc.)
Uses trademarked names, logos, or brand elements without proper authorization
Violates any third party's publicity or privacy rights
Contains licensed artwork, photographs, or designs that you do not have permission to use
Attempts to circumvent intellectual property protections through AI prompts or modifications

AI-Generated Content: When using our AI image generation features, you acknowledge that:

You are responsible for your prompts and the resulting generated content
AI-generated images that resemble copyrighted characters or trademarks may still infringe intellectual property rights
You will not use prompts designed to generate content that infringes third-party rights
We reserve the right to filter, block, or remove AI-generated content that may infringe intellectual property

The Service and its original content, features, and functionality are and will remain the exclusive property of Invitfull and its licensors. The Service is protected by copyright, trademark, and other laws.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

In any way that violates any applicable federal, state, local, or international law or regulation
To infringe upon any intellectual property rights, including copyrights, trademarks, patents, or trade secrets
To upload, generate, or distribute content featuring copyrighted characters, brands, or designs without proper authorization
To impersonate or attempt to impersonate any person or entity
To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
To transmit any advertising or promotional material without our prior written consent
To upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
To attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service
To use the Service for commercial purposes involving unlicensed intellectual property
To circumvent or attempt to circumvent any content filtering, security measures, or access controls

Commercial vs. Personal Use: While personal, non-commercial use of certain content may be subject to fair use considerations, our platform is designed for creating and sharing invitations that may have commercial implications. Users must ensure they have appropriate rights for their intended use, whether personal or commercial.

6. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our Service. By using our Service, you agree to the collection and use of information in accordance with our Privacy Policy.

We implement appropriate data collection, storage, and processing practices and security measures to protect against unauthorized access, alteration, disclosure, or destruction of your personal information, username, password, transaction information, and data stored on our Service.

7. Content Moderation and Enforcement

Our Right to Moderate: We reserve the right, but not the obligation, to monitor, review, screen, post, remove, modify, store, or otherwise use any User Content at any time and for any reason, including to ensure compliance with these Terms and applicable laws.

Automated Content Filtering: We may employ automated systems, including but not limited to visual similarity detection, keyword filtering, and hash-based identification, to detect and prevent the upload or generation of potentially infringing content.

Immediate Removal: We may immediately remove or disable access to any content that we determine, in our sole discretion, violates these Terms, infringes intellectual property rights, or poses legal risk to our platform or users.

Account Consequences: Repeated violations of our intellectual property policies may result in account suspension, termination, or other appropriate measures as determined by us.

8. DMCA and Intellectual Property Takedown Procedures

We respect the intellectual property rights of others and expect our users to do the same. In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable laws, we have implemented procedures for receiving and responding to notices of alleged copyright infringement.

Filing a Takedown Notice: If you believe that content on our Service infringes your intellectual property rights, you may submit a takedown notice to us with the following information:

Repeat Infringer Policy: We maintain a policy of terminating the accounts of users who are repeat infringers in appropriate circumstances.

9. Payment Terms and Billing

Certain features of our Service may require payment. You agree to pay all charges or fees to your account in accordance with the fees, charges, and billing terms in effect at the time the fee or charge becomes payable.

All payments are due immediately and are non-refundable unless otherwise stated. We reserve the right to change our pricing at any time, with notice provided through the Service or via email.

10. Disclaimer of Warranties

The information on this Service is provided on an "as is" basis. To the fullest extent permitted by law, we exclude all representations, warranties, and conditions relating to our Service and the use of this Service.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. The Service is provided "as is" and "as available" without any warranties of any kind.

11. Limitation of Liability

In no event shall Invitfull, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

AI-Generated Content Disclaimer: We are not responsible for AI-generated content that may inadvertently resemble copyrighted or trademarked material. Users assume full responsibility for reviewing and ensuring the legality of any AI-generated content before use.

Intellectual Property Claims: We disclaim all liability for intellectual property infringement claims arising from user-uploaded or user-generated content. Users are solely responsible for ensuring they have appropriate rights to use any content on our platform.

Our total liability to you for any claims arising from or relating to this agreement or your use of the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Invitfull and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from or relating to:

Your use of the Service
Your violation of these Terms
Your violation of any third party's rights, including intellectual property rights
Any content you upload, generate, or share through the Service
Any intellectual property infringement claims related to your use of our AI generation tools
Your breach of any representations or warranties made in these Terms

13. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service. Upon termination, your right to use the Service will cease immediately.

14. Governing Law

These Terms shall be interpreted and governed by the laws of the jurisdiction in which Invitfull operates, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
